API Service Agreement

Welcome to the Crazysloth’s Upstudy API (hereinafter referred to as the "API"). This Agreement is an agreement between Crazysloth Pte. Ltd. (the “Crazysloth”, "Company", "We", "Us", or "Our") and you ("You") and specifies the terms and conditions under which you may access and use the API. Use of our services for individuals are governed by the terms of use. By accessing and using the API, You agree to comply with this Agreement.

2. License

Authorization: Crazysloth grants You a limited, revocable, non-exclusive, non-transferable license to use the API in Your applications subject to the terms outlined in this Agreement.

3.Services

3.1 Request : To access the API, you must apply for an API key by completing the application process provided by Crazysloth. Approval of the application is at the sole discretion of Crazysloth.

3.2 Activation : Once approved, an API key will be issued to you. This key is required to authenticate your API requests.

3.3 Usage and Management

3.3.1 Authentication : You are required to include your API key in all requests to the API. Failure to do so may result in denial of access.

3.3.2 Scope of Use : The API key grants you access to the API solely for the purposes outlined in this Agreement. Any use outside these purposes requires prior written consent from Crazysloth.

3.3.3 Rate Limits : Your use of the API may be subject to rate limits as specified by Crazysloth. Exceeding these limits may result in temporary or permanent suspension of your access.

3.4 Security and Confidentiality

3.4.1 Confidentiality : You agree to keep your API key confidential and not to share it with any third parties. Unauthorized use of your API key is strictly prohibited.

3.4.2 Security Measures : You are responsible for implementing appropriate security measures to safeguard your API key. This includes, but is not limited to, regularly updating passwords and using secure storage practices.

3.4.3 Notification : In the event of any unauthorized use or security breach of your API key, you must immediately notify Crazysloth. Failure to do so may result in the suspension or revocation of your API key.

3.5 Revocation and Suspension

3.5.1 Right to Revoke : Crazysloth reserves the right to revoke or suspend your API key at any time, with or without notice, if you are found to be in violation of this Agreement or any applicable laws, or if Crazysloth deems it necessary to protect the API or its users.

3.5.2 Temporary Suspension : In the case of suspected violations or security concerns, Crazysloth may temporarily suspend your access to the API while investigations are conducted.

3.5.3 Permanent Revocation : In case of confirmed serious violations, Crazysloth may permanently revoke your API key and terminate your access to the API.

4. Usage Restrictions

By accessing and using the API, you agree to the following restrictions:

4.1 Protection of Intellectual Property

4.1.1 Ownership : Crazysloth retains all rights, title, and interest in and to the API, including all related intellectual property rights. These rights are protected by applicable copyright, trademark, and other intellectual property laws.

4.1.2 No Unauthorized Use : You may not use, reproduce, distribute, or create derivative works based on any part of the API without explicit written permission from Crazysloth.

4.1.3 Proprietary Notices : You must retain and not alter or obliterate any proprietary notices on the API or any outputs generated through the API.

4.2 Prohibition of Infringing Content

4.2.1 No Infringement : You agree not to upload, transmit, or distribute any content that infringes upon any patent, trademark, trade secret, copyright, or other proprietary rights of any party through the API.

4.2.2 DMCA Compliance : You must adhere to the Digital Millennium Copyright Act (DMCA) regulations and agree to promptly remove any infringing content upon notification of such infringement.

4.3 Illegal Activities

4.3.1 Compliance with Laws : You shall not use the API for any purpose that is unlawful or prohibited by this Agreement, including but not limited to fraud, money laundering, or any other criminal activities.

4.3.2 Harmful Activities : You agree not to use the API to promote or facilitate violence, discrimination, or any other actions that could cause harm to individuals or property.

4.4 Restrictions on Commercial Exploitation

4.4.1 No Reselling : You may not sell, resell, lease, or sublicense the API or any access to it to any third party without prior written consent from Crazysloth.

4.4.2 Integration Restrictions : Commercial integration of the API into products or services that are not publicly accessible must be approved by Crazysloth.

4.5 Protection for Children

4.5.1 COPPA Compliance : If You operate in the United States or make the API available to users in the United States, You must comply with the Children's Online Privacy Protection Act (COPPA). You must not knowingly collect, use, or disclose personal information from children under 13 years of age without verifiable parental consent.

4.5.2 Age Restrictions : You agree to implement measures to prevent the use of the API by individuals under the age of 13 without parental consent.

4.5.3 Educational Use : You may not use the API to collect or process data about minors unless it is essential for the educational tool, and only with proper consent and in accordance with all applicable laws.

5.Termination

Crazysloth reserves the right to terminate or suspend your access to the API if you are found to be in serious breach of this Agreement, including but not limited to violations of applicable laws, misuse of the API, or actions that threaten the security or integrity of our services. In the event of such termination or suspension, we will provide you with at least [7] days' notice, unless immediate termination is required by law or to protect our services and users.

You may terminate your use of the API at any time by providing at least 7 days' written notice to Crazysloth. Upon termination, yo u must cease all use of the API and delete any data you have obtained through it.

Notwithstanding the termination or suspension of your access, certain provisions of this Agreement will remain in effect, including but not limited to limitations of liability, data handling, and privacy clauses. Both parties shall undertake to resolve any outstanding issues in a cooperative and equitable manner.

6.Privacy

By using the Crazysloth's API, you (the "Customer") agree to comply with all applicable data protection and privacy laws concerning the collection, use, and storage of personal information. You are solely responsible for ensuring that you have obtained any necessary consents from individuals whose data you are collecting, processing, or storing. Additionally, you must implement appropriate technical and organizational measures to protect personal information. In the event of a data breach involving personal information processed through the API, you must promptly notify Crazysloth and affected data subjects as required by applicable law.

7. Payment Terms

7.1 Fees

The use of Crazysloth's API is subject to the fees detailed in the [Pricing] section on our website. Fees may be charged on a subscription basis, per-use basis, or any other agreed-upon arrangement. All fees are non-refundable unless otherwise stated in the Agreement.

7.2 Billing and Payment

7.2.1 Service Credits : You may use accrued service credits to pay for API services. Service credits can be redeemed for extending your service term as specified in your account. Service credits are not transferable, cannot be exchanged for cash, and are not considered legal tender or currency. They have a validity period of one year from the date of accrual and expire if not used within this period.

7.3 Taxes

All fees are exclusive of taxes, levies, or duties imposed by taxing authorities. You are responsible for paying any applicable taxes associated with your purchase of the API services, including but not limited to value-added tax (VAT), goods and services tax (GST), or similar taxes.

8. Confidentiality

8.1 Both parties agree to maintain the confidentiality of any non-public information disclosed by either party ("Confidential Information") and to use such information solely for the purpose of performing their obligations or exercising their rights under this Agreement. Confidential Information includes, but is not limited to, business plans, technical data, algorithms, and proprietary information. Each party shall protect the other party's Confidential Information with the same degree of care that it uses for its own confidential information, but in no event less than a reasonable degree of care.

8.2 Confidential Information does not include information that (i) becomes public knowledge through no fault of the receiving party, (ii) is already in the receiving party's possession without obligation of confidentiality, (iii) is independently developed by the receiving party without use of the Confidential Information, or (iv) is disclosed pursuant to legal requirements, provided the receiving party gives prompt notice to the disclosing party and cooperates in obtaining a protective order. Upon termination or upon the disclosing party’s request, both parties shall return or destroy all Confidential Information of the other party and certify in writing that they have done so.

9. Disclaimer

The API and any related documentation are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title. Crazysloth does not warrant that the API will be uninterrupted, error-free, or free from harmful components. You understand and agree that your use of the API is at your own discretion and risk and that you will be solely responsible for any damages that arise from such use, including but not limited to any loss of data or damage to your computer systems.

10. Indemnification

You agree to indemnify, defend, and hold harmless Crazysloth, its affiliates, officers, directors, employees, agents, and suppliers from and against any and all claims, liabilities, damages, losses, and expenses (including attorney’s fees and costs) arising out of or in any way connected with: (i) your access to or use of the API; (ii) your violation of any term of this Agreement; (iii) your violation of any third party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right; or (iv) any claim that your use of the API caused damage to a third party. This indemnification obligation will survive the termination or expiration of this Agreement and your use of the API.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Crazysloth, its affiliates, officers, directors, employees, agents, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the API; (ii) any conduct or content of any third party on or through the API; or (iii) unauthorized access, use, or alteration of your transmissions or content. In no event shall Crazysloth’s total liability to you for all damages, losses, and causes of action exceed the amount you have paid Crazysloth for access to and use of the API during the twelve (12) months immediately preceding the date the claim or cause of action arose.

12. Compliance with Trade Regulations

You are required to adhere to all relevant trade regulations, including sanctions and export control laws. Our Services may not be deployed in, for the advantage of, or exported or re-exported to (a) any country or territory under U.S. embargo, or (b) any individual or entity with whom interactions are forbidden or restricted by applicable trade regulations. Our Services may not be employed for any end-use prohibited by relevant trade laws, and your Input must not contain any material or information that necessitates a government license for release or export.

13. Changes

Crazysloth reserves the right to modify the terms of this Agreement at any time at its sole discretion. For changes that materially affect your rights or obligations, we will provide you with a prior notice of at least [30] days before the changes take effect, either by email or by posting a notice on Crazysloth's website. All other changes will be effective immediately upon posting of the updated Agreement on Crazysloth's website, unless otherwise specified. Continued use of the API after the effective date of any modifications constitutes your acceptance of the revised terms. If you do not agree to the modified terms, you must cease all use of the API immediately.

14. Dispute Resolution

This Agreement will be governed by the law of Singapore excluding Singapore’s conflicts of law rules or principles. Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore.

15. Notices

All notices, requests, consents, claims, demands, waivers, and other communications (collectively, "Notices") required or permitted to be given under this Agreement must be in writing and may be delivered by email.

15.1 Form of Notices : Notices must be in writing to be deemed valid.

15.2 Delivery by Email : Notices may be sent via email to the email addresses provided by both parties. Email delivery will be deemed effective upon receipt, as confirmed by an email delivery confirmation or acknowledgment from the receiving party.

15.3 Updating Contact Information : Each party is responsible for providing and updating their email address for Notice purposes. Updates to email addresses must be communicated in writing.
